Dock Side Deliveries offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
By visiting our site and/ or purchasing something from docksidedeliveries.com, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, delivery drivers, organizers and/ or contributors of content.

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

A breach or violation of any of the Terms will result in an immediate termination of your Services.
Unfortunately Dock Side Deliveries LLC can’t offer you a refund or exchange. All refunds must be handled and distributed by the vendor that you purchased your item(s) from. All vendors have contact info on their store page and have their own refund policies. Dock Side Deliveries does not offer refunds for service, processing or delivery fees.
SECTION 2 – GENERAL CONDITIONS
We reserve the right to refuse service to anyone for any reason at any time.
You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

Certain products or services may be available exclusively online through our website and or vendors. These products or services may have limited quantities and are subject to return or exchange only according to vendor Return Policys.
We have made every effort to display as accurately as possible the colors and images of vendor products that appear at the store. We cannot guarantee that your computer monitor’s display of any color will be accurate.
We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.
We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.
Alcohol and or Tobacco sold by vendors on our marketplace shall require valid and current identification to be displayed to the delivery driver delivering your order. NO EXECEPTIONS If you do not provide valid and current identification to the delivery driver, your order will be returned to the vendor and you shall recieve a refund for your purchase minus the delivery fee. You MUST be 21 years of age to purchase alcohol or tobacco and provide proof upon delivery.
SECTION 6 – ACCURACY OF BILLING AND ACCOUNT INFORMATION
We and or our vendors reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we or “Restaurants/Vendors” may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.
You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

In no case shall Dock Side Deliveries, our directors, officers, employees, vendors, affiliates, agents, organizers, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).
SECTION 17 – ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

This Vendor Agreement, hereinafter referred to as “Agreement,” is entered into and made effective as of creation of Vendor account on docksidedeliveries.com by and between the following parties:
Dock Side Deliveries LLC, a limited liability company, organized under the laws of the state of Arizona and Vendors organized under the laws of the state of California.
Hereinafter, “Vendor” will refer to and be used to describe the following parties, “Vendors”, “Site” will refer to and be used to describe the following party: Dock Side Deliveries LLC. Site and Vendor may be referred to individually as “Party” and collectively as the “Parties.”
WHEREAS, Site hosts a website, docksidedeliveries.com
WHEREAS, Site is permitting certain vendors to sell on the website
WHEREAS, Vendor is a seller of certain goods, and would like to sell on the website
NOW, therefore, in consideration of the promises and covenants contained herein, as well as other good and valuable consideration (the receipt and sufficiency of which is hereby acknowledged), the Parties do hereby agree as follows:
Article 1 – SCOPE:
This Agreement sets forth the terms and conditions whereby Vendor will be permitted to sell certain goods on the website, subject to the items listed herein. Site agrees to provide an online platform for Vendor at https//:docksidedeliveries.com
Neither Party is by virtue of this Agreement authorized as an agent, employee, or legal representative of the other. Neither Party shall have the power to control the activities and operations of the other. The Parties’ status at all times will continue to be that of an independent contractor relationship. Docksidedeliveries.com is a delivery service provider marketplace for vendors who choose to offer on demand delivery for their customers.
Article 2 – GOODS:
Vendor is engaged in the business of selling the following goods/products for their business
Vendor hereby warrants that the Goods being sold are of the utmost quality and are safe and legal to be sold under all applicable state and federal laws.
Vendor is expected to remain open all hours set on their store page on Site
Article 3 – PAYMENT:
To be permitted to sell the Goods on website, Vendor shall pay Site the following fee:
Site shall also be provided a percentage of Vendor’s gross daily receipts. The percentage amount shall be as follows: 0% (zero). Gross daily receipts shall mean the sum of the monies received by Vendor for Goods sold on docksidedeliveries.com. This percentage shall be deducted automatically through website by means of commission payment.
Parties will accept the following forms of payment:
Tax Statement: Any and all charges payable under this Agreement are exclusive of taxes, surcharges, or other amounts assessed by state or federal governments. Taxes imposed upon or required to be paid by Vendor or Site shall be the sole and exclusive responsibility of each, respectively.
Article 4 – INSURANCE:
Vendor is responsible for maintaining adequate insurance as appropriate to Vendor’s Goods and sales. Site will not provide additional insurance coverage and will not be responsible for any damage or loss.
Article 5 – LIMITATION OF LIABILITY
Except in cases of death or personal injury caused by either party’s negligence, either party’s liability in contract, tort or otherwise arising through or in connection with this Agreement or through or in connection with the completion of obligations under this Agreement shall be limited to the Fees paid by Vendor to Site.
To the extent it is lawful, neither Party shall be liable to the other Party in contract, tort, negligence, breach of statutory duty or otherwise for any loss, damage, costs or expenses of any nature whatsoever incurred or suffered by that other Party of an indirect or consequential nature including without limitation any economic loss, data loss, loss of goodwill, or other loss of turnover, profits, or business.
Article 6 – TERMINATION:
This Agreement shall terminate as follows:
Whenever vendor no longer wants to use Sites’ platform, vendor can delete their account on Sites’ website or Site can delete Vendors’ account on Sites’ platform, any outstanding balance shall be processed and paid to either party within 5 business days.
This Agreement may also be terminated by Site for violations of Sites’ Terms and Conditions.
a) if the other Party commits a material breach of any term of this Agreement that is not capable of being remedied within fourteen (14) days or that should have been remedied within fourteen (14) days after a written request and was not;
b) if the other Party becomes unable to perform its duties hereunder, including a duty to pay or a duty to perform;
No on-going relationship between the Parties is contemplated. The Parties may decide, through an addendum to this Agreement, to expand the scope of this Agreement, but such expansion may only be in writing and with explicit terms.
Article 7 – GENERAL PROVISIONS:
a) GOVERNING LAW: This Agreement shall be governed in all respects by the laws of the state of California and any applicable federal law. Both Parties consent to jurisdiction under the state and federal courts within the state of California. The Parties agree that this choice of law and jurisdiction provision is not permissive, but rather mandatory in nature.
b) LANGUAGE: All communications made or notices given pursuant to this Agreement shall be in the English language.
c) ASSIGNMENT: This Agreement, or the rights granted hereunder, may not be assigned, sold, leased or otherwise transferred in whole or part by either Party.
d) AMENDMENTS: This Agreement may only be amended in writing signed by both Parties.
e) NO WAIVER: None of the terms of this Agreement shall be deemed to have been waived by any act or acquiescence of either Party. Only an additional written agreement can constitute waiver of any of the terms of this Agreement between the Parties. No waiver of any term or provision of this Agreement shall constitute a waiver of any other term or provision or of the same provision on a future date. Failure of either Party to enforce any term of this Agreement shall not constitute waiver of such term or any other term.
f) SEVERABILITY: If any provision or term of this Agreement is held to be unenforceable, then this Agreement will be deemed amended to the extent necessary to render the otherwise unenforceable provision, and the rest of the Agreement, valid and enforceable. If a court declines to amend this Agreement as provided herein, the invalidity or unacceptability of any provision of this Agreement shall not affect the validity or enforce ability of the remaining terms and provisions, which shall be enforced as if the offending term or provision had not been included in this Agreement.
g) ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the Parties and supersedes any prior or contemporaneous understandings, whether written or oral.
h) HEADINGS: Headings to this Agreement are for convenience only and shall not be construed to limit or otherwise affect the terms of this Agreement.
i) COUNTERPARTS: This Agreement may be executed in counterparts, all of which shall constitute a single agreement. If the dates set forth at the end of this document are different, this Agreement is to be considered effective as of the date that both Parties have signed the agreement, which may be the later date.
j) FORCE MAJEURE: Site or Vendor is not liable for any failure to perform due to causes beyond its reasonable control including, but not limited to, acts of God, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances, such as supplier strikes or labor disputes.
k) NOTICES ELECTRONIC COMMUNICATIONS PERMITTED: i) Any notice to be given under this Agreement shall be in writing and shall be sent by email, to the email address of the relevant Party set out at the creation of Vendor account on Sites’ website or other address as that Party may from time to time notify the other Party in accordance with this clause.
Notices sent as above shall be deemed to have been received 1 working days after the day of posting in the case of email.
This agreement is executed upon browsers, vendors, customers, merchants, delivery drivers, organizers and/ or contributors of content via use of and or registration on docksidedeliveries.com
